End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and Logiciel PCBee inc. ("Company," "we," "us," or "our") for the Spokes software ("Software").

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the Software.

1. Grant of License

Logiciel PCBee inc. grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Software solely for your personal or internal business purposes strictly in accordance with the terms of this Agreement.

2. Self-Hosted Infrastructure and Data

Spokes is self-hosted software. You acknowledge and agree that:

  • You are solely responsible for provisioning, configuring, securing, and maintaining the servers and infrastructure where the Software is installed.
  • Logiciel PCBee inc. does not host, process, or have access to any user data, messages, or files transmitted through your installation of the Software.
  • You are solely responsible for ensuring regular data backups and complying with all applicable data privacy regulations (e.g., GDPR, CCPA) for the users of your instance.
  • Logiciel PCBee inc. shall not be held liable for any data breaches, data loss, or server downtime experienced on your self-hosted infrastructure.

3. Merchant of Record

Payments for the Software are processed by LemonSqueezy, acting as the official Merchant of Record. By purchasing a license, you also agree to LemonSqueezy's Terms of Service and Privacy Policy. All payment disputes, refund requests, and tax-related inquiries must be directed to or are governed by LemonSqueezy. Logiciel PCBee inc. only retains a list of emails linked to purchased licenses for support and license delivery purposes.

4. Disclaimer of Warranties

The Software is provided "as is" and "as available," with all faults and without warranty of any kind.

Logiciel PCBee inc. hereby disclaims all warranties and conditions with respect to the Software, either express, implied, or statutory, including, but not limited to, the implied warranties and/or conditions of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement of third-party rights. We do not warrant that the operation of the Software will be uninterrupted or error-free.

5. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Logiciel PCBee inc. be liable for any special, incidental, indirect, or consequential damages whatsoever

(including, but not limited to, damages for loss of profits, loss of data, business interruption, or any other commercial damages or losses) arising out of or related to your use or inability to use the Software, however caused, regardless of the theory of liability (contract, tort, or otherwise), and even if Logiciel PCBee inc. has been advised of the possibility of such damages.

In no event shall Logiciel PCBee inc.'s total liability to you for all damages exceed the amount actually paid by you for the Software license.

6. Restrictions

You agree not to, and you will not permit others to:

  • License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the Software or make the Software available to any third party.
  • Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Software.
  • Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of Logiciel PCBee inc. or its affiliates, partners, suppliers, or the licensors of the Software.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to its conflict of law principles.
